MEDNAX Announces Closing of $750 Million of 5.25% Senior Notes Due 2023

FORT LAUDERDALE, Fla.--(BUSINESS WIRE)--Dec. 8, 2015-- MEDNAX, Inc. (NYSE: MD), announced today the closing of the previously announced private placement of $750 million aggregate principal amount of its 5.25% senior notes due December 1, 2023 (the “Notes”). The completed transaction resulted in approximately $737.5 million in net proceeds to MEDNAX (after deducting discounts to the initial purchasers and estimated offering expenses), which will be used to repay a portion of the indebtedness outstanding under its senior unsecured revolving credit facility and, to the extent not used for such purpose, to make acquisitions and for general corporate purposes. The Notes were offered to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States to persons other than U.S. persons in reliance upon Regulation S under the Securities Act.
