On May 18, 2015, MEDNAX, Inc., a Florida corporation (the Company), issued a press release announcing the completion of the previously announced acquisition of Virtual Radiologic Corporation, a leading radiology physician services and telemedicine company.
The purchase consideration for the transaction was $500 million, which includes the assumption of certain net operating loss carryforwards, the cash portion of which consideration was funded with cash on hand and from the Companys unsecured revolving credit facility.

MEDNAX Completes Acquisition of vRad
Expects Initial Annualized Accretion of $0.10 per Share
FORT LAUDERDALE, Fla., May 18, 2015 MEDNAX, Inc. (NYSE: MD), the national medical group specializing in neonatal, anesthesia, maternal-fetal, pediatric cardiology and other pediatric physician services, today announced that it has completed the previously announced acquisition of Virtual Radiologic Corporation (vRad), a leading radiology physician services and telemedicine company.
The purchase consideration for the transaction was $500 million, which includes the assumption of certain net operating loss carryforwards.
As the Company indicated in its initial announcement of the transaction, the acquisition is expected to be accretive to GAAP earnings. Based on vRads current results, and based on expected annual non-cash depreciation and amortization expense of approximately $20 million, MEDNAX anticipates that the acquisition will add an initial $25 million in annualized operating income and $0.10 in annualized diluted earnings per share. The Company anticipates that this contribution will increase in the foreseeable future, based on expected percentage growth in organic revenue at vRad in the high single digits.
The Companys estimate of expected depreciation and amortization expense is preliminary and remains subject to the completion of a third-party valuation to determine the fair value of the underlying net assets.
